Results of GM, change of name, change of website, director appointment and total voting rights

The board of VANE is pleased to announce that all the resolutions put to shareholders at the General Meeting held earlier today were duly passed, including resolution 1 which was passed on a poll vote.

Following the passing of the resolutions at the General Meeting, the subscription for 349,750,000 new ordinary shares in VANE (the "Subscription Shares"), raising £1,399,000 (before expenses), has become unconditional in all respects save for in relation to admission of the Subscription Shares to trading on AIM which is expected to take place on 16 August 2013. Further details in relation to this subscription are contained in the announcement made by VANE on 30 July 2013.

Name change and change of website

With the passing of resolution 3 at the General Meeting, the Company will change its name to Rose Petroleum plc and from tomorrow the Company will trade on AIM under its new name and its new stock code, ROSE.L.

The Company's website address will also change to from tomorrow.

Director appointment

The Company also confirms the appointment of Philip Jeffcock as a non-executive director of the Company with immediate effect, further details of whom were set out in the announcement on 30 June 2013.

Total voting rights

Following the issue of the Subscription Shares, VANE's issued share capital consists of 792,673,658 ordinary shares of 0.1p each. The Company does not hold any ordinary shares in treasury. Therefore the total number of ordinary shares in the Company with voting rights is 792,673,658.

The above figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.
